Terms of Service

PLEASE READ THESE TERMS OF SERVICE ("Terms") CAREFULLY. By accessing or using any part of the Transcribbit website, desktop or mobile applications, APIs, or related services (collectively, the "Service"), you agree to be bound by these Terms. If you do not accept them, do not use the Service.

1. Definitions

  • "Account" means a registered user profile within the Service.
  • "Consumer" means a natural person acting for purposes wholly or mainly outside that person's trade, business or profession.
  • "Content" means any audio, text, images, or other material uploaded, submitted, stored, or otherwise provided through the Service.
  • "Paid Plan" means a subscription tier that requires payment of fees.
  • "You" or "User" means any person or entity that accesses or uses the Service.

2. Eligibility

You must be at least 16 years of age (or the minimum age of digital consent in your country, if higher) to create an Account. By using the Service you represent that you meet this requirement.

3. Changes to These Terms

We may modify these Terms from time to time. We will notify you by email or through the Service at least 14 days before material changes take effect. Continued use of the Service after the effective date constitutes your acceptance of the revised Terms.

4. Governing Law & Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them are governed by the laws of England and Wales, without regard to conflict-of-laws rules.

4.1 Consumers

If you are a Consumer, you may bring proceedings in the courts of your country of residence. We may bring proceedings against you only in those courts. Nothing in this Section deprives Consumers of any mandatory protections afforded by the law of their habitual residence (Rome I, Art 6(2)).

4.2 Business Users

If you are not a Consumer, the courts of England and Wales have exclusive jurisdiction.

5. Description of the Service

Transcribbit provides automatic and human-assisted speech-to-text transcription, audio search, and related productivity features. Specific functionalities may change or be discontinued at any time.

6. Your Account

You are responsible for safeguarding your login credentials and for all activities under your Account. Do not share your credentials. Notify us immediately of any unauthorized use.

7. Your Content

7.1 Ownership

You retain all rights in Your Content.

7.2 Licence

You grant Transcribbit a worldwide, non-exclusive, royalty-free licence (with the right to sublicense solely to our hosting and processing subcontractors) to use, reproduce and process Your Content - including generating transcripts and intermediate machine-learning artefacts-solely for (a) providing the Service to you; (b) maintaining, securing and improving the Service to you; and (c) creating aggregate, anonymised analytics, provided that we do not publicly display or publish Your Content.

7.3 Responsibility

You represent and warrant that you have all rights necessary to upload and license Your Content and that Your Content and its use with the Service do not infringe any third-party rights or laws.

7.4 Moral rights

To the maximum extent permitted by applicable law, you waive and agree not to assert any moral rights in Your Content against us or our sublicensees.

8. Notice-and-Takedown

We comply with the U.S. Digital Millennium Copyright Act ("DMCA") and the EU Digital Services Act ("DSA"). If you believe Content infringes your rights, please submit a written notice to copyright@transcribbit.io containing (i) your contact information, (ii) identification of the infringing material, (iii) a statement under penalty of perjury that you have a good-faith belief the use is unauthorized, and (iv) your signature. We will respond expeditiously and notify the user who provided the material of your claim. Users may submit counter-notifications consistent with applicable law.

9. Content Removal

We may remove or disable access to any Content that, in our sole judgment, violates these Terms or applicable law. Where feasible, we will provide notice and an opportunity to appeal.

10. Acceptable Use Policy

You agree not to:

  • Violate any applicable law or regulation;
  • Infringe or misappropriate any third-party rights, including copyright, trademark or privacy rights;
  • Harm minors or process biometric data of minors;
  • Upload malware, viruses, or malicious code;
  • Send unsolicited or bulk commercial communications ("spam");
  • Impersonate any person or entity or misrepresent your affiliation;
  • Use automated means (bots, scrapers) to access the Service without our written permission;
  • Reverse engineer, decompile or attempt to extract source code except as permitted by law;
  • Use the Service to create voiceprints or for biometric identification without explicit consent;
  • Transcribe or distribute copyrighted audio without authorization.

11. Subscriptions and Payments

11.1 Fees

Prices for Paid Plans are listed in the Service and are exclusive of any applicable VAT, GST or sales taxes, which will be charged at checkout.

11.2 Auto-renewal

Each Paid Plan renews automatically at the end of the billing cycle unless you cancel at least 24 hours before renewal. By entering a Paid Plan you authorize us (or our payment processor) to store and charge your payment method.

11.3 14-Day Money-Back Guarantee

If you are not satisfied, you may request a full refund within 14 days of your initial purchase of a Plan.

11.4 Cancellation

You may cancel at any time via Account settings. Your Paid Plan remains active until the end of the current period; no prorated refunds are provided after 30 days.

11.5 Currency Conversion

Where applicable, currency conversions are handled by your payment provider and may include fees.

12. Data Protection & Privacy

Our processing of personal data is described in the Transcribbit Privacy Policy, which is incorporated by reference. For enterprise customers acting as data controllers, our Data Processing Addendum ("DPA") governs international transfers and subprocessors.

13. Disclaimers

The Service is provided "AS IS" and "AS AVAILABLE". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee that the Service will be uninterrupted, error-free, or secure.

14. Limitation of Liability

Nothing in these Terms limits liability that cannot be limited under law (e.g., fraud, death or personal injury).

To the fullest extent allowed by law, in no event shall Transcribbit be liable for indirect, incidental, special, consequential or punitive damages, or loss of profits, revenue, data, or goodwill. Our aggregate liability for direct damages arising out of or relating to the Service shall not exceed the greater of (i) EUR 100 or (ii) the fees you paid to Transcribbit in the 12 months preceding the event giving rise to liability.

15. Indemnification

You will indemnify and hold harmless Transcribbit and its directors, officers, employees and agents from any claim, demand, loss or damage arising out of Your Content or your breach of these Terms.

16. Termination and Suspension

You may delete your Account at any time. We may suspend or terminate the Service or your Account, with notice where practicable, if you violate these Terms or create risk or legal exposure for us.

16.1 Data Export

Following termination, you may download your account data for 30 days, after which they may be deleted.

17. Force Majeure

We are not liable for any delay or failure to perform resulting from causes outside our reasonable control, including acts of God, Internet outages, labour disputes, or government actions.

18. Assignment

We may assign these Terms, in whole or in part, to an affiliate or in connection with a merger, acquisition or sale of assets. You may not assign these Terms without our written consent.

19. Entire Agreement; Severability

These Terms, together with the Privacy Policy and any DPA or Plan-specific terms, constitute the entire agreement between you and Transcribbit. If any provision is held unenforceable, the remaining provisions remain in effect.
